Sponsored Marketing Terms and Conditions

Last updated: 28 September 2026

These terms govern the services supplied by Australian Directory Services Pty Ltd trading as Sponsored Marketing (Sponsored Marketing, we, us or our) to the business purchasing the services (you or your). Sponsored Marketing services use the Social Reach platform. Please read these terms and the description of your purchase before paying your first invoice. By accepting an order or paying an invoice, you agree to these terms.

1. What we provide

Sponsored Marketing supplies a campaign setup service and ongoing access to marketing tools. The setup fee does not purchase ongoing advertising management. Your order or invoice identifies the services and price agreed with you. Any service outside the inclusions below requires a separate agreement or quote.

2. Initial campaign setup

The initial setup costs $299 plus GST unless another price is stated in your accepted offer or invoice. It includes setting up your account on the Social Reach platform and one marketing campaign consisting of:

a designed and configured webpage funnel to receive traffic and capture leads;

an enquiry form on that funnel;

an automatic email follow up to each enquiry received through that form;

an automatic notification to you when a lead enquires;

an opportunity record in the CRM to help you track each lead from enquiry to sale; and

guidance on setting up your own advertising and managing your campaign.

Leads submitted through the funnel are recorded in the CRM. You remain responsible for reviewing and responding to enquiries, progressing opportunities and operating your advertising accounts. We provide the tools and initial setup. We do not run, monitor, optimise or manage your advertising accounts or advertising spend as part of this fee.

If a domain name is needed for the funnel, the setup fee includes its first year of registration, subject to availability and the applicable registration rules. Domain arrangements are explained in section 8.

Each additional or future campaign that you ask us to set up costs $299 plus GST at the currently advertised price, unless we agree another price with you before work begins. Additional creative work, campaign changes, strategy, integrations and other work outside the stated setup are quoted separately.

3. Monthly access and assistance

Ongoing access costs $99 plus GST per month unless your accepted offer states another price. It includes access to the Sponsored Marketing service on the Social Reach platform according to your package, Advanced CRM, campaign statistics, enquiry management, automatic email follow up for enquiries received through the included setup, lead notifications and step by step training videos. You may book a 10 minute phone call if you need further assistance with the included service, subject to appointment availability.

The monthly fee includes the email follow ups and lead notifications described above. We will disclose and agree any charge for additional services before supplying them. The monthly fee does not include paid advertising, management of your advertising accounts, new campaigns, new creative work or services not expressly identified as included.

Platform access is billed monthly in advance. It continues on a month to month basis until cancelled under section 11 or ended under these terms.

4. Your advertising accounts and spend

You choose, control and pay for any advertising directly with the relevant advertising provider, such as Meta, Google or LinkedIn. Your agreement for advertising spend is with that provider, and its charges are separate from our fees. You are responsible for setting and monitoring your budget, payment method and any campaign running in your advertising account, including turning it off when you no longer wish to advertise.

Ending or suspending your Sponsored Marketing service does not itself cancel an advertising account, advertising subscription or payment arrangement with another provider. Your advertisements may cease to work as intended if the funnel or associated tools are unavailable. Check and pause or redirect them yourself before your access ends. We are not responsible for charges made by an advertising provider under your arrangement with it.

Advertising providers decide whether to approve ads and may change their prices, policies, targeting, features or availability. We do not guarantee approval, impressions, clicks, leads, bookings, sales or a return on advertising spend.

5. Information, access and approvals

You must provide accurate business details, your offer, pricing, claims, brand materials and other information reasonably needed for setup. You must have permission to provide and use all materials you supply, and give us the account access necessary for agreed work. You are responsible for checking the accuracy and legality of the content and offer before approving publication.

Please provide information, access, decisions or approvals we request within seven calendar days of our request, unless we agree another timeframe in writing. If they are late, work and launch may be delayed and your project may move to the back of our production queue. When you respond, we will resume it when production capacity becomes available. A delayed launch does not guarantee a particular revised launch date. We will tell you if we need further information to proceed.

You must not supply unlawful, misleading, defamatory, discriminatory, infringing or otherwise inappropriate material. We may decline to publish material that reasonably appears to breach the law or an advertising provider's policies and explain what needs to change.

6. Results and your responsibilities

You are responsible for operating your business, handling enquiries, maintaining your advertising accounts, complying with applicable laws and the policies of any advertising provider you use, and obtaining any permissions required for your advertising and communications. Results depend on your offer, market, budget, audience, sales process and factors outside our control. We do not promise a particular number or quality of leads, sales, bookings or revenue.

7. Customer information and email communications

You retain your business information and the leads collected for your business through the service. You are responsible for the lawful collection and use of those leads, including any notices, permissions and unsubscribe options required for marketing messages. We will handle personal information in accordance with our Privacy Policy and applicable law.

Our included automated email follow up is for enquiries captured through the agreed campaign setup. You must not use the platform to send unlawful, deceptive or unsolicited communications. You are responsible for the content you instruct us to use and the recipients you contact through your account.

8. Domain names

Where a new domain is required, it must be registered through AustralianDirectoryServices.com.au so that we can configure the DNS and connect it to your funnel. The domain will be registered by us on your behalf, under your eligible business details and ABN. You are the registrant and retain the rights associated with its registration, subject to the applicable domain rules and renewal payments. We do not take ownership of your domain.

The first year of registration of a required domain is included in the initial setup fee, where we have purchased it through Australian Directory Services on your behalf. You are responsible for each later renewal at the price applicable when renewal falls due. You can log in to the domain account to manage its settings, or transfer the domain to another provider in accordance with the applicable domain rules. We will not unreasonably prevent an eligible transfer.

While your Sponsored Marketing service is active, we manage the DNS and name server settings needed to connect a domain registered through AustralianDirectoryServices.com.au to your included funnel. Other domain administration is outside this package. We do not manage domains registered elsewhere as part of this package.

If the Sponsored Marketing service ends, your domain remains yours but the funnel and other hosted services on Social Reach will cease to operate when platform access ends. You must arrange a replacement website or funnel provider if you want to keep using the domain for those purposes. You may update the domain settings yourself, or request that we direct its DNS settings to your new provider using the details you give us. Once directed to your new provider, that provider and you are responsible for its hosting, operation and ongoing settings.

9. Intellectual property and use of the service

You retain rights in the materials you supply to us, your registered domain and your lead data. You give us permission to use your materials to supply the agreed services.

We retain rights in the Social Reach platform and in the funnels, webpage designs, campaign materials, copy, graphics, templates, workflows, training, systems and other work that we create or supply, except any part that you owned before providing it to us or that we expressly agree to assign to you in writing. While your account is active and paid, we permit you to use that work within the services purchased. This permission ends when your access ends. Payment for setup does not transfer ownership of our work or give you the right to copy, resell or move our platform, funnels, workflows or training to another provider. Your rights to your own materials, domain and lead data continue.

10. Invoices, overdue payment and suspension

We issue the monthly renewal invoice approximately 14 days before the end of the current paid month. It is generally payable within seven days of issue and must be paid before the next service period begins. Your current paid service continues to the end of that period even if the next invoice remains unpaid.

If the renewal remains unpaid when the paid period ends, we may suspend platform access and the associated funnel, CRM and automations from the following day. We will notify you of the unpaid amount and the suspension. If payment remains unpaid for 14 calendar days after the end of the paid period, we may close the account after giving written notice. You remain responsible for amounts properly due for services supplied before closure. We will not charge for a new monthly service period that we have not provided merely because an invoice was issued.

If you later wish to restart a closed account, a new setup fee at the price applicable at that time will be payable before setup work begins. Reopening is subject to availability and may require new configuration. Any domain you registered remains yours, subject to its own renewal terms. Section 12 explains how to obtain your lead data after account closure.

11. Cancellation by you

You may cancel the monthly service by submitting the cancellation form linked in the website footer. We will email you an automatic acknowledgement when the form is received. Please keep that acknowledgement as your record. If the form is unavailable, email [email protected] with your business and account details and a clear cancellation request. We will acknowledge receipt.

Cancellation takes effect at the end of the monthly service period already paid for. Your account remains accessible until that date unless we must restrict access for security, unlawful use or serious conduct under these terms. You do not have to pay for a further monthly period following an effective cancellation. Fees for the unused portion of an already paid month are not refunded or credited merely because you choose to stop using the service early, subject to section 13 and your rights under law.

You remain responsible for cancelling, pausing or redirecting advertising and charges with third party providers yourself. The domain remains registered to you but the Social Reach funnel and hosted services stop when access ends.

12. Lead export and closure

Your leads belong to you. At the end of your account access, we will send an export of the available lead database in CSV format to the account contact email address. You may also request a copy within 90 calendar days after the effective cancellation or closure date by emailing [email protected]. We will take reasonable steps to confirm that the person requesting or receiving the export is authorised for the account.

The CSV export contains available lead records and does not include a working copy of the platform, funnel, automations, layouts or other work described in section 9. After the 90 day request period, we may delete or de-identify account data according to our Privacy Policy, applicable law and any retention obligations. You should promptly save your CSV export and make arrangements for any replacement system you require.

13. Seven day money back guarantee and legal rights

We offer a voluntary seven day, 100 per cent money back guarantee on your initial purchase. For any reason, you may request a refund within seven calendar days starting on the date we receive your first payment for the initial setup and first month. The guarantee refunds the initial setup fee and any first monthly access fee paid to us under that initial purchase, including GST. Contact [email protected] or use the cancellation form within that period and tell us you are claiming the guarantee. We will cancel the service and refund the covered amounts to the original payment method where practicable.

After the guarantee period, we do not provide refunds or credits merely because you change your mind, cancel early or do not use an already paid service period. This does not limit any remedy available to you under the Australian Consumer Law or other law. Nothing in these terms excludes, restricts or modifies a consumer guarantee or other right that cannot lawfully be excluded.

The guarantee applies to amounts paid to us for the initial setup and first month. Charges paid directly to an advertising provider are governed by your arrangement with that provider.

14. Respectful conduct and ending service

We expect respectful communication with our staff and contractors. You and anyone acting for your business must not threaten, abuse, harass, intimidate or discriminate against them, or repeatedly use aggressive or inappropriate language or behaviour. Raising a complaint, disagreeing with us or disputing a charge respectfully does not breach this requirement.

If conduct breaches this requirement, we may ask that it stop, move communications to a nominated contact or written channel, and issue a warning. If it continues, we may give written notice ending the service at the end of the period you have paid for. For a serious threat, harassment, unlawful conduct or a genuine staff safety concern, we may immediately restrict contact or access and end the service sooner where reasonably necessary. We will deal fairly with any prepaid service that we do not provide because we end the agreement early, subject to applicable law. Your right to receive your lead data under section 12 continues, subject to reasonable identity and security checks.

We may also suspend or end service where you use it unlawfully, materially breach these terms and do not remedy the breach within a reasonable time after notice, or where continuing service would create a material security risk. We will give notice and a reasonable opportunity to remedy where the circumstances permit.

15. Availability and third parties

We take reasonable care in supplying the service, but access may be affected by maintenance, updates, internet or telecommunications failures, security incidents or the services and policies of other providers. We will take reasonable steps to address an issue within our control. We do not promise uninterrupted or error free availability. This section does not limit rights that cannot lawfully be excluded.

16. Liability and claims

Nothing in these terms excludes or limits liability or remedies to the extent that doing so is unlawful. Subject to that qualification, we are not responsible for loss arising solely from your advertising provider's decisions or charges, information you supplied inaccurately, or your failure to manage your own ads or respond to leads. We do not guarantee financial results or accept responsibility for projected profits, sales or savings that do not eventuate.

You are responsible for claims arising from content or instructions you supply that infringe another person's rights, are unlawful or contain misleading business claims, to the extent that your conduct caused the claim. We remain responsible for our own conduct and obligations. Each party must take reasonable steps to reduce avoidable loss.

17. Changes to terms and fees

We may update these terms or the monthly fee for a future service period by giving you written notice before the change takes effect. If you do not agree with a material change, you may cancel before that future period starts. A change does not reduce the services or rights you have already paid for during the current period, except where required by law or to address an immediate security issue. The version accepted when you buy applies to your initial purchase, subject to any later variation validly agreed or notified under this section.

18. General and contact

These terms and your accepted offer or invoice describe your purchase. If an expressly agreed written offer specifies a different inclusion or price, that specific agreement prevails over the general description in these terms. No statement here limits applicable legal rights. These terms are governed by the laws of Victoria, Australia, subject to any mandatory laws that apply elsewhere.
